Terms of service
These terms form a binding agreement between you ("you", "your", "Customer") and Frameboard Limited ("Frameboard", "we", "us"), a company registered in England and Wales (company number 17154107, registered office to be confirmed), governing your use of the service at myframeboard.app, myframeboard.io, frameboard.co.uk and related subdomains and apps (the "Service"). By creating an account, clicking "I agree", or using the Service you accept these terms.
For paid Enterprise plans, a separately signed Master Services Agreement (MSA) supersedes these terms where they conflict. Our Privacy Policy and Data Processing Agreement (DPA) are incorporated by reference.
1. Definitions
- "Customer Data" means any data you, your team members, or your clients submit to, upload to, or generate within the Service, including proposals, briefs, catalogue items, messages, client contact details and project content.
- "Confidential Information" means any non-public information disclosed by either party that is marked confidential or that a reasonable person would treat as confidential.
- "Sub-processor" means any third party we engage to process Customer Data on our behalf.
- "Documentation" means the user guides, help centre articles, and API documentation we publish at myframeboard.app.
2. Your account
You must be at least 18 years old and authorised to act on behalf of any organisation you represent. You are responsible for keeping your login credentials secure, for all activity under your account, and for ensuring every user you invite complies with these terms. Notify us immediately at security@myframeboard.app if you suspect unauthorised access.
You may not allow anyone outside your organisation to access the Service under your credentials. Seats are per-named-user.
3. Acceptable use
You will not use the Service to:
- Violate any law, regulation, or third-party right (including intellectual property, privacy, and publicity rights)
- Send unsolicited commercial communications ("spam"), phishing, or malicious content to clients or any other recipient
- Transmit malware, viruses, or any code designed to interfere with the Service
- Reverse engineer, decompile, scrape, benchmark, or resell the Service, or use it to build a competing product, without our prior written consent
- Generate, send, or store content that is defamatory, discriminatory, sexually explicit involving minors, or that incites violence or self-harm
- Circumvent or attempt to circumvent usage limits, rate limits, plan enforcement, or billing controls
- Impersonate another person or misrepresent your affiliation with any person or organisation
- Use the Service in any manner that could damage, disable, overburden, or impair the Service
We may investigate suspected violations and may suspend or terminate accounts that materially breach this section.
4. Your content
You retain all ownership rights in Customer Data. You grant Frameboard a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, process and display Customer Data solely as necessary to operate, secure, and improve the Service for you.
You represent that (a) you have all rights and permissions necessary to submit Customer Data to the Service, (b) Customer Data does not infringe any third-party rights, and (c) where Customer Data includes personal data of third parties (e.g. your clients), you have a lawful basis under UK GDPR to transfer that data to us for processing.
Frameboard does not claim ownership of any proposal, catalogue item, or other output you create using the Service.
5. Service availability and changes
We target 99.5% monthly uptime measured excluding scheduled maintenance, force majeure events, and issues caused by your equipment or third-party networks. We may schedule maintenance at low-traffic times and will make reasonable efforts to notify you in advance of planned downtime.
We may add, modify or remove features from time to time. We will not materially reduce the functionality of a paid plan during a paid billing period without offering a pro-rata refund or equivalent alternative.
Beta features are provided "as is" and may be changed or withdrawn at any time. Service Level commitments do not apply to beta features.
6. Subscriptions, billing and taxes
Paid plans renew automatically on the same billing cycle (monthly or annual) until cancelled. You can cancel at any time from your billing settings or by writing to billing@myframeboard.app. Cancellation takes effect at the end of the current paid period and you retain access until then. We do not refund part-used periods except where required by law or expressly stated in your order form.
Prices shown exclude VAT and other applicable taxes unless stated. UK customers will be charged UK VAT at the prevailing rate. You are responsible for any local taxes, duties, or withholdings in your jurisdiction.
If a payment fails, we will retry and may notify you by email. If payment remains unpaid for 14 days we may suspend access; after 30 days we may terminate the subscription. Reactivation requires payment of outstanding amounts.
We may change pricing for any plan with at least 30 days' written notice (by email or in-app). Price changes apply from your next renewal.
7. Top-ups and usage limits
Paid plans include monthly quotas (proposals, AI credits, catalogue items, seats). Top-up packs extend those quotas and do not roll over unless expressly stated. Month-boost top-ups promote your plan for a fixed 30-day window. Monthly counters reset on the 1st of each calendar month at 00:15 UTC.
8. AI-generated output
The Service uses third-party large language models (currently Anthropic Claude) to generate proposal copy from briefs you submit. AI output is provided as a drafting aid only. You are solely responsible for reviewing, editing, and approving all AI-generated content before sending it to clients or making it public.
You acknowledge that (a) AI output may contain inaccuracies, fabricated information, or content that is unsuitable for your industry or jurisdiction, (b) identical or similar output may be generated for other Frameboard customers, and (c) you must not rely on AI output as legal, medical, financial, or other regulated advice.
Frameboard disclaims all liability for decisions you make based on AI-generated content and for any losses arising from such content being sent to clients without your review.
9. Intellectual property
The Service, including all software, designs, logos, user interface, documentation, templates, and seed content, is owned by Frameboard or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these terms for the duration of your subscription.
Frameboard welcomes feedback. Any suggestions, feature requests, or feedback you provide may be used by Frameboard without restriction or compensation.
10. Confidentiality
Each party will (a) protect the other's Confidential Information with the same degree of care it uses for its own confidential information (and at minimum reasonable care), (b) use Confidential Information only to perform its obligations under these terms, and (c) not disclose Confidential Information to any third party except as permitted by these terms or with prior written consent.
Confidential Information does not include information that is publicly known through no fault of the receiving party, independently developed without use of the disclosing party's Confidential Information, or received from a third party without a duty of confidentiality.
11. Data protection
Our processing of personal data is governed by our Privacy Policy and, where you are acting as a data controller and Frameboard as a data processor, our Data Processing Agreement. The DPA is automatically incorporated into these terms. For Enterprise customers, a separately signed DPA with additional safeguards is available on request.
12. Security
Frameboard implements technical and organisational security measures appropriate to the risk, including encryption in transit (TLS 1.2+), encryption at rest for user credentials, role-based access controls, audit logging of administrative actions, and annual security reviews. We will notify you of any confirmed personal data breach affecting Customer Data without undue delay, and in any event within 72 hours of becoming aware, consistent with UK GDPR Article 33.
13. Third-party services
The Service integrates with third-party services (including Stripe for payments, Resend for email delivery, Anthropic for AI inference, Mux for video hosting, Netlify for hosting, and Airtable as our primary data store). Use of those services is subject to their own terms. We are not responsible for acts or omissions of third-party services beyond those we control as Sub-processors under the DPA.
14. Warranty disclaimer
Except as expressly stated in these terms, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure against all threats.
15. Limitation of liability
To the maximum extent permitted by law, Frameboard's total aggregate liability arising out of or relating to these terms or the Service in any 12-month period is limited to the greater of (a) the amount you paid Frameboard for the Service in that 12-month period, or (b) one hundred pounds sterling (£100).
Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, even if advised of the possibility of such damages.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
16. Indemnification
You will defend, indemnify, and hold harmless Frameboard and its officers, employees, and agents against any third-party claim arising from (a) your use of the Service in breach of these terms, (b) Customer Data infringing a third party's rights, or (c) your violation of applicable law. We will promptly notify you of any such claim and give you reasonable cooperation, at your cost, in defending it.
17. Suspension and termination
Either party may terminate these terms for convenience on at least 30 days' written notice. We may suspend or terminate your access immediately, without notice and without refund, if (a) you materially breach these terms and fail to cure within 10 days of written notice (or immediately for breaches incapable of cure), (b) your payment is more than 30 days overdue, (c) we are required to do so by law, or (d) your use poses a security or legal risk to Frameboard or other users.
On termination, your right to access the Service ends. For 30 days following termination, you may request an export of Customer Data in machine-readable form by emailing support@myframeboard.app. After 30 days, we may permanently delete Customer Data, subject to any retention obligations in our Privacy Policy. You remain liable for any fees accrued before termination.
18. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, acts of government, internet or telecommunications failures, or failures of upstream service providers.
19. Assignment
You may not assign these terms without our prior written consent. We may assign these terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of substantially all our assets.
20. Entire agreement
These terms, together with the Privacy Policy, DPA, and any order form or MSA executed between the parties, constitute the entire agreement between you and Frameboard regarding the Service and supersede any prior agreements. No waiver of any provision is effective unless in writing. If any provision is held unenforceable, the remaining provisions remain in full force.
21. Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email to the account owner at least 30 days before they take effect, or at the next renewal if sooner. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you may cancel before the effective date and receive a pro-rata refund of any pre-paid unused period.
22. Governing law and jurisdiction
These terms are governed by the laws of England and Wales, excluding conflict of laws rules. The parties submit to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek injunctive relief in any jurisdiction where its rights are threatened.
